Terms of Service

1. Acceptance of Terms

These Terms of Service (the "Terms") constitute a legally binding agreement between you (whether an individual or a legal entity, "Customer" or "you") and Mowoai Technology Co., Ltd. ("Mowoai", "OPCA", "we", "us") governing your access to and use of the OPCA platforms, products, software, websites, and related services operated by OPCA and made available at https://opca.ai (collectively, the "Services").

By accessing, registering for, or using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and any additional policies referenced herein. If you do not agree, you must not use the Services.

2. Definitions

• "Account" means the registered user account created by Customer to access the Services.
• "Customer Data" means any data, content, or information submitted, uploaded, or processed by Customer through the Services.
• "Documentation" means any user guides, technical manuals, API references, and supporting materials provided by OPCA.
• "Order Form" means any ordering document, statement of work, or online order confirmation referencing these Terms.
• "Subscription Term" means the period during which Customer is entitled to use the Services as specified in the applicable Order Form.

3. Eligibility & Account Registration

You represent and warrant that you are at least 18 years of age (or the legal age of majority in your jurisdiction) and have the full legal capacity and authority to enter into these Terms. If you are accepting these Terms on behalf of a legal entity, you further represent that you have the authority to bind that entity.

You agree to provide accurate, current, and complete information during registration and to keep your Account information updated. You are responsible for safeguarding your login credentials and for all activities that occur under your Account.

4. Description of Services

OPCA provides enterprise-grade end-to-end AI transformation solutions, including but not limited to:

• Operation AI — workflow, finance, HR, and compliance automation.
• Production AI — smart scheduling, visual quality inspection, and predictive maintenance.
• Global Growth AI — multi-language customer engagement and cross-border lead intelligence.
• AI Core Platform — unified data hub, system integration, and dual deployment (cloud and on-premise).

The specific scope, features, and service levels applicable to Customer are set out in the applicable Order Form.

5. Subscriptions, Fees & Payment

Access to certain Services is provided on a subscription basis. By entering into an Order Form, Customer agrees to pay all applicable fees and taxes specified therein. Unless otherwise stated:

• Fees are denominated in U.S. Dollars (USD) and are non-refundable except as expressly provided in these Terms.
• Subscription fees are billed in advance for the applicable Subscription Term.
• Late payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law.
• OPCA reserves the right to modify pricing for renewal Subscription Terms upon at least 30 days' prior written notice.

6. Intellectual Property Rights

All intellectual property rights in and to the Services, including the OPCA software, AI models, algorithms, interfaces, designs, trademarks (including the OPCA name and logo), and Documentation, are and shall remain the exclusive property of Mowoai Technology Co., Ltd. and its licensors. Nothing in these Terms transfers any ownership of such rights to Customer.

7. License & Acceptable Use

Subject to Customer's compliance with these Terms and timely payment of fees, OPCA grants Customer a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services during the Subscription Term solely for Customer's internal business purposes.

Customer shall not (and shall not permit any third party to): (i) reverse engineer, decompile, or disassemble the Services; (ii) rent, lease, sublicense, or resell the Services; (iii) use the Services to build a competing product; (iv) upload malicious code or content; (v) violate any applicable law or regulation; or (vi) interfere with or disrupt the integrity or performance of the Services.

8. Customer Data & Privacy

Customer retains all right, title, and interest in and to Customer Data. Customer hereby grants OPCA a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely as necessary to provide the Services and as described in the Privacy Policy. Customer is solely responsible for the accuracy, quality, and legality of Customer Data and for obtaining all rights required to share it with OPCA.

OPCA's collection, use, and protection of personal data are governed by the Privacy Policy, which is incorporated into these Terms by reference.

9. Confidentiality

Each party agrees to protect the other party's confidential information using the same degree of care it uses to protect its own confidential information of like importance, but in no event less than reasonable care, and to use such confidential information only for purposes of performing under these Terms.

10. Third-Party Services

The Services may interoperate with or contain links to third-party products, services, or websites that are not owned or controlled by OPCA. OPCA does not endorse and is not responsible for the availability, accuracy, content, or practices of any such third-party services. Customer's use of such services is at Customer's sole risk.

11. Warranties & Disclaimers

OPCA warrants that it will provide the Services in a professional and workmanlike manner consistent with generally accepted industry standards. EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND OPCA DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OPCA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPCA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE USE OF, OR INABILITY TO USE, THE SERVICES, REGARDLESS OF THE LEGAL THEORY. IN ANY CASE, OPCA'S TOTAL CUMULATIVE LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE FEES ACTUALLY PAID BY CUSTOMER TO OPCA FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

Customer agrees to defend, indemnify, and hold harmless OPCA and its affiliates from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (i) Customer's use of the Services in violation of these Terms, (ii) Customer Data, or (iii) Customer's violation of any applicable law.

14. Term & Termination

These Terms commence on the date Customer first accepts them and continue until the expiration of the applicable Subscription Term. Either party may terminate these Terms (i) for the other party's material breach that remains uncured for 30 days after written notice, or (ii) immediately upon written notice if the other party becomes insolvent or enters into bankruptcy proceedings. Upon termination, Customer shall pay all fees accrued up to the effective date of termination, and OPCA will make Customer Data available for export in accordance with the Privacy Policy.

15. Export Control & Sanctions

Customer represents that it is not located in, or a resident or national of, any country subject to U.S. or international sanctions, and that Customer is not on any list of prohibited or restricted parties maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC) or any equivalent authority. Customer shall comply with all applicable export control and sanctions laws and regulations.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States of America, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the state and federal courts located in Colorado, U.S.A., and the parties hereby consent to such jurisdiction and venue.

17. Changes to These Terms

OPCA may update these Terms from time to time. If a change is material, OPCA will provide reasonable notice in advance of the change becoming effective (for example, by posting a notice on the website or sending an email to Customer's account contact). Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
